These principally consist of consultation and documentation required in the ordinary and usual course of the client's operations. Consultation includes advice and legal opinions on pertinent laws, rules and regulations bearing upon any of the following aspects of the client's business:
- existing corporate structure
- legal and contractual rights and obligations, including tax and finance-related matters
- management and personnel issues whether in a unionized or non-unionized setting
- compliance with governmental licensing/administrative requirements
Documentation includes the preparation or review of simple and ordinary agreements and instruments, and on case-to-case basis, simple claims or demand letters. This excludes contracts requiring extensive documentation or negotiations even if such contracts form part of the client's usual or ordinary business.
On a pre-arranged basis, the Firm's lawyers may also render service as directors, consultants and/or corporate secretaries for clients. The work basically entails attendance at board and stockholders' meetings, advice and counseling during said meetings, preparation and keeping of minutes, resolutions and stock transfer books and documentation of share issue or transfer transactions.
